Terms of Service

1. Acceptance of Terms

By accessing or using OryonTech Innovation Solutions Ltd (“OryonTech”, “we”, “us”) services, including our Agent-as-a-Service platform and Merchant Dashboard, you agree to these Terms. If you do not agree, do not use the services.

2. Services

OryonTech provides AI-powered automation software, including conversational agents and workflow automation for platforms such as WhatsApp. Services are provided “as is” and “as available,” without warranties of any kind, express or implied, and may evolve over time.

3. Customer Responsibilities

As a merchant using OryonTech’s services, you agree to:

• Provide accurate and lawful business information.
• Use the services in strict compliance with applicable laws, Nigeria Data Protection Regulation (NDPR), and platform policies (e.g., WhatsApp Business Policy).
• Obtain explicit consent (opt-in) from your customers before initiating messaging.
• Maintain the security of your account credentials and API keys.

4. Prohibited Uses

You may not use the services to engage in illegal activities, fraud, spam, or any activity that violates our Acceptable Use Policy. We reserve the right to suspend accounts immediately for violations that risk our platform’s integrity.

5. Intellectual Property

OryonTech retains all rights to its software, agents, workflows, and underlying technology. You retain ownership of your business data and the content you provide.

6. Fees & Billing

Fees, subscriptions, and usage-based charges are described at the point of purchase. All payments are non-refundable except where required by applicable law, unless otherwise stated. Failure to pay may result in immediate service suspension.

7. AI Disclaimer & Liability for Output

The Service utilizes Artificial Intelligence (AI) and Large Language Models (LLM) to generate responses. You acknowledge that AI may occasionally produce inaccurate, incorrect, or offensive outputs (“Hallucinations”).

• Merchant Responsibility: You agree that you are solely responsible for reviewing agent configurations, FAQs, and pricing data.
• Hallucinations: No Liability for OryonTech is not liable for any financial loss, reputational damage, or lost sales resulting from AI errors, including but not limited to incorrect pricing quotes, promised discounts, or misstated return policies generated by the Service.

8. Limitation of Liability

To the maximum extent permitted by law, OryonTech shall not be liable for indirect, incidental, or consequential damages, including lost profits or data. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid for the Service in the last three (3) months.

9. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, where required to protect the integrity of the Platform, our users, or to comply with applicable laws and platform policies, or for any breach of these Terms.

10. Governing Law & Dispute Resolution

The Service utilizes Artificial Intelligence (AI) and Large Language Models (LLM) to generate responses. You acknowledge that AI may occasionally produce inaccurate, incorrect, or offensive outputs (“Hallucinations”).

• 10.1. Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
• 10.2. Venue: You agree to submit to the exclusive jurisdiction of the courts located within Lagos State, Nigeria.
• 10.3. Dispute Resolution: In the event of a dispute, the parties agree to first attempt to resolve the issue informally for at least thirty (30) days before initiating litigation.
